These Terms of Service ("Terms") govern your access to and use of the Beverage Broker Network ("BBN," "we," "us," or "our"), a service operated by BevAssets, LLC, a Minnesota limited liability company. By creating an account or using BBN, you agree to these Terms. If you do not agree, do not use BBN.
BBN is a professional network for the beverage industry. You must be at least 18 years old and able to form a binding contract to use it. If you use BBN on behalf of a company, you represent that you are authorized to bind that company to these Terms.
You agree to provide accurate information, keep it current, and keep your login credentials secure. You are responsible for all activity that happens under your account. Tell us promptly if you believe your account has been compromised.

You keep ownership of the content you post. By posting or submitting content to BBN, you grant BevAssets, LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and adapt that content for the limited purpose of operating, improving, and promoting BBN and its services. This license ends when you delete your content or your account, except for (a) copies already shared with others, and (b) copies retained for legal, security, or backup purposes. We do not sell your content.
You represent that you own or have the necessary rights to the content you post, and that it does not infringe anyone else's rights.
You are responsible for the content you post. We are not obligated to monitor content, but we may review, remove, or restrict any content, and suspend or terminate any account, at our discretion, including content that violates these Terms or our Community Guidelines.
We respect intellectual property rights. If you believe content on BBN infringes your copyright, send a notice through our contact form that includes: identification of the work, identification of the material you believe is infringing and where it appears, your contact information, a statement that you have a good-faith belief the use is not authorized, and a statement that the information is accurate and that you are authorized to act. We will review valid notices and may remove the material and, where appropriate, terminate repeat infringers.
BBN may link to or integrate third-party sites and services (including our technology providers). We are not responsible for third-party content, products, or practices. Your use of them is at your own risk and subject to their terms.
The BBN Job Board and opportunity feed include (a) listings posted directly by members, companies, and recruiters, and (b) listings that BBN compiles from publicly available sources as a convenience to members. For compiled listings, we display basic factual details (such as job title, company, location, and a brief summary) and link to the original posting. The application and hiring process take place on the third-party site, not on BBN.
We do not create, endorse, verify, or guarantee any listing, employer, compensation, or opportunity, and we are not the employer or an agent of any employer. Listings may be inaccurate, incomplete, out of date, or removed at any time. You are responsible for independently evaluating any opportunity, and any application, interview, offer, hire, or agreement is solely between you and the third party. Never send money, payment-account details, or sensitive personal information in response to a listing.
Members, companies, and recruiters who submit listings are solely responsible for their accuracy and legality and for having the right to post them, and grant the license in Section 4. BBN reviews submitted listings before they appear and may edit, decline, or remove any listing at its discretion.
If you are an employer, listing owner, or rights holder and would like a compiled listing corrected or removed, contact us through our contact form and we will address it promptly. See also Section 6 (Copyright and takedown requests) and Section 7 (Third-party links and services).
Featured placements. BBN may highlight, feature, or promote certain listings, companies, or members, whether curated by BBN or offered as a paid placement. Featuring is a promotional placement only. It is not an endorsement, recommendation, or verification of the featured party, and it does not create any partnership, agency, or employment relationship between BBN and that party.
Some features may require a paid membership or paid placement. Pricing, billing, and any trial terms will be presented at sign-up or purchase. Fees are non-refundable except where required by law or expressly stated. We may change features or pricing with reasonable notice.
BBN is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that BBN will be uninterrupted, secure, or error-free, or that any connection, listing, or opportunity will lead to a particular result. BBN is a networking platform; we are not a party to any deal, hire, or agreement made between members or with third parties.
To the fullest extent permitted by law, BevAssets, LLC and its owners, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to your use of BBN. Our total liability for any claim relating to BBN will not exceed the greater of the amount you paid us in the twelve months before the claim, or one hundred U.S. dollars ($100).
You agree to indemnify, defend, and hold harmless BevAssets, LLC and its owners, members, employees, and partners from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your content, your listings, your use of BBN, or your violation of these Terms or of any law or third-party right.
You may stop using BBN and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms. Sections that by their nature should survive termination will survive, including content license (for copies already shared), disclaimers, limitation of liability, and indemnification.
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-law rules. You agree that the state and federal courts located in Minnesota will have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to venue there.
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide notice. Your continued use of BBN after changes take effect means you accept the updated Terms.
